ONE TO A MILLION

Clause 1. Binding Agreement, Eligibility (18+) & Authority: By accessing the Platform, purchasing a Live Bundle, or arming an Auto-Sniper Lock, the buyer enters a binding contract with Gunn R&D Ltd (New Zealand), warrants they are at least 18 years of age (or the age of legal majority in their jurisdiction), and warrants they are the authorized holder of the payment method used.

Clause 2. Digital Novelty Status & Non-Financial / Non-Investment Disclaimer: Capsules, Vault Numbers (#1 to #1,000,000), Rarity Tiers, Birthday Badges, and Throne titles are strictly digital novelty and entertainment entries. They are not securities, financial products, investments, equity, lottery tickets, or cryptocurrencies, carry zero monetary or redemption value, and offer no promise of secondary market liquidity or financial return.

Clause 3. All Sales Final — Strictly No Refunds, Returns, or Cooling-Off: Because Vault Numbers are allocated sequentially on a live public counter, performance of this bespoke digital service begins and completes the instant payment settles. All sales are final and non-refundable. The buyer expressly requests immediate digital execution and waives any statutory right of withdrawal, cancellation, or cooling-off period to the fullest extent permitted by law.

Clause 4. Live Counter Slippage & Dynamic Sequential Allocation: Numbers displayed in Live Bundle quotes prior to payment settlement are non-binding estimates based on the counter state at that moment. Because multiple buyers may transact concurrently, final Vault Numbers are allocated sequentially at the exact millisecond payment is committed to the database (skipping any armed Auto-Sniper locks or already-minted numbers). Receiving different sequential numbers than previewed due to concurrent activity is an expected platform mechanic and is never grounds for a refund or dispute.

Clause 5. "King of the Hill" Throne Mechanics — Zero Guaranteed Minimum Duration: Every approved Live Bundle purchase (1x, 3x, 5x, or 10x) or triggered Auto-Sniper execution claims or advances the Reigning Monarch Throne upon commit. Throne occupancy carries zero guaranteed minimum duration. Any subsequent Live Bundle purchase or Auto-Sniper execution by another user—even less than one second later, and regardless of bundle size—immediately dethrones the incumbent. Rapid unseating is the core competitive mechanic of the Platform and never entitles the buyer to a refund, credit, or compensation.

Clause 6. Auto-Sniper Pre-Order Locks, Off-Session Payment Mandate & Indefinite Timeline:
(a) Non-Refundable Lock Fee: The $2.00 USD Lock Fee is an immediate, non-refundable administrative reservation fee earned by Gunn R&D Ltd upon arming the lock; it is not a deposit or credit toward the final Mint Price.
(b) Binding Off-Session Payment Mandate: By arming a lock, the buyer instructs Stripe to vault their payment method and grants Gunn R&D Ltd continuous authority to automatically charge that saved payment method off-session for the exact Locked Mint Price when the live counter reaches or leaps past the target number.
(c) No Guaranteed Execution Date: The live counter advances solely through independent user purchases; Gunn R&D Ltd makes no representation or guarantee as to when, or if, the live counter will ever reach a locked target number.
(d) Declined Card Forfeiture: If the off-session charge fails, is declined, expires, or requires additional cardholder authentication (3DS) when triggered, the lock transitions to FAILED_DECLINED, the reservation is permanently voided, and the $2.00 USD Lock Fee is forfeited without refund.

Clause 7. Automated & Manual Content Moderation, Quarantine Delays & Forfeiture Without Refund: Buyers are solely responsible for their handle, message, link, and media. Content that is unlawful, defamatory, sexually explicit, hateful, harassing, fraudulent, infringing, or in violation of Stripe's Prohibited & Restricted Business policies is strictly prohibited.
(a) Quarantine (PENDING_APPROVAL): Any submission containing external links, media URLs, inline domains, or flagged keywords is automatically routed to Quarantine for manual review. Gunn R&D Ltd guarantees no specific turnaround time for moderation review. Being dethroned while a submission is still awaiting moderation approval is not grounds for a refund.
(b) Permanent Redaction Without Refund (REJECTED): If a submission is rejected automatically or manually for violating these Terms, the message, handle, link, and media are permanently redacted/blocked from the public board and Throne, and Rejected purchases are blocked from taking the Throne. No refund will be issued for rejected or quarantined capsules.

Clause 8. Chargeback Abuse, Dispute Liability & Account Blacklisting: Initiating an unwarranted, abusive, or fraudulent chargeback or payment dispute with a card issuer after receiving sequential number allocation or Lock arming constitutes a material breach of this Agreement. Upon any dispute notification, Gunn R&D Ltd reserves the right to immediately revoke, redact, and quarantine all capsules and locks associated with the buyer's email address, IP, or payment method, blacklist the buyer from future participation, submit cryptographic checkout and timestamped clickwrap logs to Stripe and the card network, and recover Stripe's non-refundable dispute fee ($15.00 USD or local equivalent) plus reasonable administrative and legal recovery costs from the buyer.

Clause 9. Definition of "Immutable" & Service Availability / Hosting Disclaimer: Marketing or interface references to an "Immutable Digital Time Capsule Vault" mean solely that once a capsule transaction is committed, the buyer cannot edit, alter, delete, or reassign its number or submitted payload. It does not constitute a warranty or promise of perpetual, lifetime, or uninterrupted web hosting. The Platform is provided strictly "AS IS" and "AS AVAILABLE," and Gunn R&D Ltd reserves the right to modify, suspend, migrate, archive, or permanently discontinue the Platform at any time without liability or refund obligation.

Clause 10. Currency, Pricing, Taxes & Foreign Exchange: All prices and fees are quoted and charged in United States Dollars (USD) unless stated otherwise. The buyer is solely responsible for any currency conversion spreads, international transaction fees, or bank charges imposed by their card issuer.

Clause 11. Intellectual Property License, Third-Party Content & Buyer Indemnification: The buyer retains ownership of their lawful original content and grants Gunn R&D Ltd a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, display, reproduce, and distribute the content in connection with the Platform. Gunn R&D Ltd does not endorse and is not responsible for third-party messages, external links, or media uploaded by users; clicking external links is at the visitor's sole risk. The buyer agrees to indemnify, defend, and hold harmless Gunn R&D Ltd, its directors, officers, and affiliates from any claims, liabilities, regulatory penalties, or legal fees arising from the buyer's submission or breach of these Terms.

Clause 12. Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Gunn R&D Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Gunn R&D Ltd's maximum aggregate liability to any buyer for all claims arising out of or relating to the Platform shall not exceed the total amount in USD actually paid by that buyer to Gunn R&D Ltd for the specific transaction giving rise to the claim.

Clause 13. New Zealand Consumer Law & Statutory Rights: Where the New Zealand Consumer Guarantees Act 1993 (CGA) or Fair Trading Act 1986 applies and cannot be lawfully excluded, nothing in these Terms purports to unlawfully contract out of mandatory statutory guarantees; however, the buyer acknowledges that the service supplied is a bespoke, instantaneously executed, competitive digital novelty entry whose nature and specifications are defined by clauses 2 through 9 above.

Clause 14. Force Majeure, Severability & Governing Law: Gunn R&D Ltd is not liable for delays, webhook failures, or outages caused by events beyond its reasonable control (including Cloudflare, D1, Stripe, or telecommunications disruptions). If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect. These Terms are governed exclusively by the laws of New Zealand, and the courts of New Zealand shall have exclusive jurisdiction over any dispute.

Clause 15. Sanctions & Export Compliance: In accordance with United Nations sanctions, United States Office of Foreign Assets Control (OFAC) regulations, and the New Zealand Russia Sanctions Act 2022, users located in, organized under, or resident of sanctioned jurisdictions—including Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk, and Luhansk regions of Ukraine—are strictly prohibited from transacting, purchasing capsules, or arming locks on this Platform. Any transaction initiated from or on behalf of a sanctioned jurisdiction or blocked person will be blocked at the edge network.
